Terms and Conditions

For Using the Aditiv Solutions (Pty) Ltd, Website and 3D Printing Services:

 

1. Acceptance of Terms

1.1. By engaging with Aditiv Solutions for 3D printing services, Clients acknowledge that they have read, understood, and agreed to these Terms and Conditions for both 3D printing services and website usage in their entirety. These Terms and Conditions constitute a legally binding agreement between Aditiv Solutions and its Clients.

 

2. Orders and Delivery

2.1. Clients must place orders for goods or services in writing, either through a purchase order, or via an online order (on the ordering portal) or as per any other method specified by Aditiv Solutions. Additionally, Aditiv Solutions may consider proof of payment following a quotation as a valid order. However, if the Client chooses to place a verbal order, Aditiv Solutions will not be held responsible for any errors or misunderstandings that may arise due to the lack of a written order.

2.2. Furthermore, Aditiv Solutions retains the right to accept or commence the processing of any orders only after receiving full payment.

2.3. No changes or cancellations to orders will be accepted, except with written consent and confirmation from Aditiv Solutions. Any alterations or cancellations made by the Client without such consent will render them liable for all costs, damages, or losses incurred by Aditiv Solutions due to these modifications or cancellations.

2.4. Aditiv Solutions reserves the right to refuse the acceptance of any order, for any reason whatsoever.

 

3. CAD Models and Intellectual Property

3.1. Clients must provide accurate and complete Computer-Aided Design (CAD) models in compatible file formats for 3D printing. By submitting CAD models, clients affirm that they own the necessary intellectual property rights or have obtained explicit authorization from the rightful owner(s) to use the design for 3D printing.

3.2. Aditiv Solutions will not be held liable for any copyright or intellectual property infringement resulting from the use of client-provided CAD models.

3.3. Aditiv Solutions shall not assume responsibility for any design faults, corrupted files, or incorrect and faulty models. The cost of any faulty prints or reprints resulting from such issues will be borne by the Client.

 

4. Lead Time and Delivery

4.1. Aditiv Solutions aims to complete 3D printing and deliver the parts within 7-10 business days from the date of receiving the CAD models and order confirmation. However, this lead time is an estimate and not a guarantee. Delays may occur due to unforeseen circumstances, technical issues, or high demand.

4.2. Aditiv Solutions will make reasonable efforts to notify clients promptly of any significant delays and work to expedite the production process.

4.3. Delivery times may vary based on the client’s location and shipping method. Clients are responsible for providing accurate shipping information, and any additional shipping costs incurred due to incorrect information will be the client’s responsibility.

 

5. Payment and Pricing

5.1. Clients agree to pay the total cost for the 3D printing service as specified in the provided quote.

5.2. Payment must be made in full before the 3D printing process commences.

5.3. Alternatively, if the Client is approved for an account/credit purchase, the goods supplied or services rendered must be paid in full, within 30 (thirty) calendar days from the date of invoice.

5.4. All prices are in the currency specified in the quote and are subject to change without prior notice.

 

6. Quality Assurance

6.1. Aditiv Solutions performs quality checks on all 3D printed parts before shipping.

6.2. While Aditiv Solutions strive to produce high-quality prints, minor variations in dimensions and surface finish may occur. Clients accept that 3D printing is a manufacturing process with inherent limitations.

6.3. In the event of any defects or issues with the printed parts, clients must notify Aditiv Solutions within five (5) business days of receiving the shipment. Aditiv Solutions will work with the client to find a suitable resolution, which may include reprinting the parts or issuing a refund.

6.4. If any defects regarding the goods are substantiated, Aditiv Solutions will not issue any refund, credit, or reprints until the original goods are returned and received by Aditiv Solutions. In case of returning defective goods, Aditiv Solutions will not entertain any alterations to the original order. Any modifications requested will be treated as a new order and quoted accordingly.

 

7. Warranties and Indemnity

7.1. Aditiv Solutions provides no warranty, either express or implied, and disclaims all liability to the Client concerning the performance or goods, as well as the Clients’ use of the supplied goods. Aditiv Solutions does not guarantee that the goods will be suitable for any specific use.

7.2. Aditiv Solutions shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from the use or inability to use the 3D printed parts or services including, but not limited to, loss of profits.

7.3. Clients agree to indemnify and hold Aditiv Solutions and its employees harmless against any claims, damages, losses, or liabilities arising from the client’s use of the 3D printed parts or services.

7.4. Any advice or opinion provided by Aditiv Solutions is for the sole benefit of the Client and Aditiv Solutions assumes no responsibility for any damages resulting from the Purchaser’s reliance on such advice or opinion. The Client acknowledges this and agrees to indemnify Aditiv Solutions in such situations.

7.5. The Client warrants that any materials, intellectual property, requested products, or orders provided to or sent to the Seller will not violate any civil or criminal laws, both domestically and internationally. The Client hereby indemnifies Aditiv Solutions against any claims brought by third parties or damages suffered by Aditiv Solutions due to the Client’s breach of this provision at any stage.

7.6. In the event of any liability of Aditiv Solutions to the Client, whether through a court order or otherwise, the total compensation shall not exceed the amount already paid by the Client to Aditiv Solutions for the specific services rendered and/or goods supplied in connection with the relevant claim.

 

8. Confidentiality

8.1. Aditiv Solutions will treat all client-provided CAD models and design information as confidential and shall not disclose or share such information with third parties without the client’s prior written consent.

 

9. Disclosure of Personal Information

9.1. The Seller reserves the right to obtain, store, or process personal information, as defined and in compliance with the Electronic Communications and Transactions Act, 2002; the Regulation of Interception of Communications and Provision of Communication-Related Information, 2002 (RICA); and the Protection of Personal Information Act, 2013 (POPIA). This data may include information related to partners, directors, or other officers and will be used solely for the purpose of conducting business and associated activities.

9.2. The Data shall be held securely in accordance with the provisions of POPIA and all relevant laws. It may be shared, disclosed, or processed by other companies within the Seller’s group or other organizations designated by the Seller. Additionally, the Seller may disclose the data to entities involved in the prevention of crime, criminal acts, and general law enforcement, as permitted by law.

 

10. Domicilium

10.1. The Client designates the address provided in any order form or online request form (or, in the absence of a written order form, the delivery address specified by the Client) as its domicilium citandi et executandi. This address shall serve as the official location for the valid service of all legal proceedings and notices pertaining to any matter arising out of, or relating to, the relationship between the Purchaser and the Seller, as governed by this agreement.

10.2. Aditiv Solutions chooses as its domicilium citandi et executandi at CSIR, Building 17A, Meiring Naude Rd, Pretoria, South Africa, 0184.

 

11. Governing Law and Jurisdiction

11.1. These Terms and Conditions shall be governed by and construed in accordance with the laws of South Africa, without regard to its conflicts of laws principles.

11.2. Any disputes arising out of or related to these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts in South Africa.

11.3. By engaging with Aditiv Solutions’ 3D printing service bureau, clients confirm that they have read, understood, and accepted these Terms and Conditions in their entirety. These Terms and Conditions supersede all prior agreements and understandings between the parties, whether oral or written.
